These Terms and Conditions agreement (the “Agreement”) governs your access to and use of ChessFlux, an educational chess club operating primarily through the Chess.com platform and affiliated communication channels. By joining, accessing, participating in, or otherwise engaging with ChessFlux (hereafter referred to as “the Club,” “we,” “our,” or “us”), you (hereafter referred to as “User,” “Member,” or “you”) agree to be bound by the terms and conditions set forth herein in full. If you do not agree to these terms in their entirety, you are expressly prohibited from using or accessing any part of ChessFlux and must withdraw from the Club immediately.
1. Binding Agreement and Amendments This Agreement constitutes a legally binding contract between the User and the Club. It governs all use of materials, communications, interactions, services, and access to any and all ChessFlux offerings, whether public or private, paid or free. The Club reserves the unrestricted right to modify, amend, suspend, or terminate this Agreement, in whole or in part, at any time, for any reason, and without prior notice. Continued participation or use of Club services following the posting of changes to this Agreement shall constitute binding acceptance of such changes.
2. Eligibility and Membership Membership in ChessFlux is available exclusively to individuals with a valid and active account on Chess.com. By becoming a member, you affirm that you are legally permitted to enter into binding contracts under the laws of your jurisdiction and that you have not been previously suspended or banned from ChessFlux or any related organization. The Club retains sole and final discretion in determining member eligibility, and it may revoke membership at any time, with or without cause, and without obligation of explanation or prior notice.
3. Scope of Services ChessFlux offers non-commercial, not-for-profit services intended for the promotion of chess education and community engagement. These services include, but are not limited to, instructional content, live and recorded coaching sessions, internal tournaments, forums, chatrooms, and other pedagogical or community features. All services are offered “as is” with no express or implied warranties of any kind, including, without limitation, implied warranties of merchantability or fitness for a particular purpose.
4. Intellectual Property and Use Restrictions All intellectual property, including but not limited to training materials, written content, graphics, designs, logos, forums, and tournament structures provided through or by ChessFlux, remain the sole and exclusive property of the Club or its licensed contributors. Users may not reproduce, publish, distribute, modify, sell, or publicly display any proprietary content without prior written authorization from the Club. Unauthorized use may result in immediate termination of membership and may give rise to civil and/or criminal liability under applicable intellectual property laws.
5. Prohibited Conduct Users are prohibited from engaging in any conduct that, in the sole judgment of the Club, is unlawful, unethical, abusive, harassing, defamatory, obscene, fraudulent, harmful, or otherwise disruptive to the Club’s operations, its members, or its reputation. This includes but is not limited to cheating, harassment, impersonation, unsolicited advertising, data scraping, dissemination of harmful content, use of bots or artificial assistance during games, or violation of third-party rights. Violations may result in immediate suspension or permanent expulsion from the Club, and may be referred to Chess.com and/or appropriate legal authorities for further action.
6. Third-Party Platforms The Club operates primarily through third-party platforms, including Chess.com and, where applicable, email or video conferencing services. The Club disclaims all liability for actions or omissions by such third-party providers. Users are subject to the terms and conditions of those third-party platforms, which operate independently of this Agreement. The Club is not responsible for the performance, availability, or security of such platforms.
7. Privacy and Data ChessFlux does not collect, retain, or disseminate personal data beyond what is publicly visible on a User’s Chess.com profile, unless explicitly authorized by the User in writing. Any additional information submitted to administrators (e.g., application forms, surveys, or coaching preferences) is treated as confidential and used solely for internal Club operations. The Club will not sell or distribute member data to third parties under any circumstances, except where required by law or as necessary for enforcement of this Agreement.
8. Dispute Resolution In the event of a dispute between a User and the Club, the User agrees to first engage in good-faith mediation with a designated Club administrator. If the dispute remains unresolved, the Club reserves the right to make a final and binding decision. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Club owner resides, without regard to conflict of law principles. Any legal claim or action arising out of this Agreement must be brought exclusively in the appropriate courts located in that jurisdiction.
9. Limitation of Liability To the fullest extent permitted by law, the Club, its owners, administrators, and affiliates disclaim all liability for any direct, indirect, incidental, consequential, special, or punitive damages, including loss of data, interruption of service, personal injury, emotional distress, or loss of reputation resulting from or in connection with the use of ChessFlux. The User agrees that the total cumulative liability of the Club, for any claim whatsoever, shall not exceed zero dollars ($0.00), regardless of the nature of the claim.
10. Termination The Club may, in its sole discretion, suspend or permanently terminate a User’s access to ChessFlux without prior notice, for any reason or no reason, including but not limited to a violation of this Agreement or the Club's Code of Conduct. Upon termination, the User agrees to cease all use of Club content and services, and any privileges or entitlements will be forfeited with immediate effect.
11. Entire Agreement This Agreement, including all referenced policies and supplemental materials (e.g., ChessFlux Code of Conduct), constitutes the entire agreement between the User and ChessFlux with respect to its subject matter and supersedes all prior and contemporaneous understandings, communications, and agreements, whether written or oral. If any provision herein is found to be unenforceable, the remaining provisions shall remain in full force and effect.
By joining or continuing to participate in ChessFlux, you affirm that you have read, understood, and agreed to these Terms and Conditions in full.
